10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida and the federal laws of the United States, without giving effect to any principles of conflicts of law.

Any dispute arising out of or related to these Terms or the use of the Site shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.

11. Dispute Resolution and Arbitration

11.1 Informal Negotiation

If a dispute arises, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice to: legal@dashlioapp.com

11.2 Binding Arbitration

If the dispute is not resolved within 60 days, either party may initiate binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Miami, Florida, in English or Spanish as agreed by the parties.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Dashlio individually. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANOTHER OR CONDUCTED AS PART OF A CLASS ACTION OR REPRESENTATIVE ACTION.

12. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
